This Agreement defines the terms for the activation and use of the SavannaFlow interactive sales funnel system for the signing partner agency.

Section 1: Purpose of the Agreement

This Agreement defines the terms under which SavannaFlow provides the Agency with a turn-key interactive itinerary sales funnel (the "System") designed to optimize and convert safari bookings from international travelers.

Section 2: Financial Terms & Payment Trigger (Major Clause)

Initial activation of the System is provided under the $0 Upfront plan (no setup fees).

• The Trigger: As soon as the Agency records its first (1st) booking with deposit processed through the System (regardless of the deposit amount or final booking value), a flat, non-refundable setup and activation fee of $1,500 USD becomes immediately due and payable.
• Invoicing: A Stripe invoice for $1,500 USD is automatically generated and sent to the Agency upon receipt of the first deposit. The Agency has a maximum of 7 calendar days to pay this invoice.
• No Right of Cancellation: The fact that the traveler's deposit is small, or that the booking is cancelled later, does not suspend the obligation to pay the $1,500 USD.

Section 3: Intellectual Property & Hosting

• Exclusive Hosting: Under the "$0 Upfront" plan, the System is hosted exclusively on SavannaFlow's servers and domain (e.g., https://mapvitrine.com/demo/agency-name/).
• No Custom Domain Installation: Installing the System on the Agency’s own custom domain (e.g., https://safari.agency-name.com) is strictly excluded from the free offer. This option requires upgrading to a paid premium plan with custom domain migration fees.
• Code Ownership: SavannaFlow retains exclusive ownership of the source code, design, Leaflet maps, and all underlying technology.

Section 4: Lead Lock System (Lead Escrow)

• Subsequent Bookings: If a second (2nd) booking or any subsequent bookings occur while the $1,500 USD activation invoice remains unpaid, the traveler's personal contact details (names, email, phone number) are automatically masked by the System.
• Unlocking Leads: These details will only be unlocked and sent to the Agency once the $1,500 USD activation invoice is paid in full and confirmed by Stripe.
• Service Suspension: If the invoice remains unpaid after the 7-day grace period, SavannaFlow reserves the right to deactivate the itinerary page completely.

Section 5: Pricing for Additional Itineraries

The "$0 Upfront" plan is strictly limited to one (1) active itinerary. Any additional itineraries requested by the Agency are not eligible for free setup. Standard pricing will apply: a $149 USD setup fee per extra itinerary, or a subscription of $29 USD/month.

Section 6: Transaction Disclaimer

SavannaFlow acts solely as a technical service provider. The Agency is solely responsible for its commercial relationship with travelers, including executing safari tours, handling customer disputes, refunds, and bank chargebacks.

Section 7: Termination

The Agency can terminate the use of the System at any time. However, the $1,500 USD setup fee remains fully due if the first booking has already been triggered. Termination will result in the immediate removal of the itinerary page from SavannaFlow’s servers.
